*.* 具有單機(jī)容量****kW及以上風(fēng)電機(jī)組設(shè)備的總裝能力；
*.* 單機(jī)容量****kW及以上風(fēng)電機(jī)組設(shè)備在中國(guó)境內(nèi)有生產(chǎn)、安裝并通過***小時(shí)試運(yùn)行的業(yè)績(jī)；
*.* 所投機(jī)型第一臺(tái)機(jī)組到達(dá)項(xiàng)目現(xiàn)場(chǎng)前，需取得低電壓穿越報(bào)告、設(shè)計(jì)認(rèn)證、型式認(rèn)證等，需具有自動(dòng)有功、無(wú)功控制功能，且滿足GB/T*****-****《風(fēng)電場(chǎng)接入技術(shù)規(guī)定》的相關(guān)規(guī)定；
*.* 具備完善的質(zhì)量管理體系、良好的財(cái)務(wù)狀況、銀行資信和商業(yè)信譽(yù)。

Disclosing Party: shall mean the party which discloses or causes to disclose the Confidential Information to the other party;
“披露方”指披露或致使機(jī)密信息披露給協(xié)議另一方的一方；
Receiving Party: shall mean the party which receives the Confidential Information from the Disclosing Party.
“接收方”指接收披露方機(jī)密信息的一方。
For the purpose of undertaking xxxxx wind farm project (hereinafter, the “Project”), the Receiving Party will receive original wind data、topographic maps and feasibility research reports related to the Project on a confidential basis from the Disclosing Party. The Disclosing Party agrees to disclose the said information to the Receiving Party.
接收方為進(jìn)行xxxxx風(fēng)電場(chǎng)工程項(xiàng)目的技術(shù)分析 （以下稱為“項(xiàng)目”），將需要從披露方處獲得此項(xiàng)目的原始測(cè)風(fēng)數(shù)據(jù)、地形圖和項(xiàng)目的可行性研究報(bào)告，披露方同意向接收方披露該等機(jī)密信息。
BY VIRTUE OF THE ABOVE, THE PARTIES HEREBY AGREE AS FOLLOWS:
鑒于上述事項(xiàng)，雙方一致同意以下條款：
*.As used herein, “Confidential Information” means the original wind data、topographic maps and feasibility research reports related to the Project provided by the Disclosing Party.
本協(xié)議中“機(jī)密信息”是指披露方告知接收方的關(guān)于項(xiàng)目的原始測(cè)風(fēng)數(shù)據(jù)、地形圖和項(xiàng)目的可行性研究報(bào)告。
The term “Confidential Information” does not include the following information:
a) The information has been already known by the Receiving Party before receive “Confidential Information” from the Disclosing Party (with full right to disclose);
b) The information has or is becoming publicly available other than by its breach of obligations hereunder;
c) The information provided to the Receiving Party by the third Party legally; or
d) The technology developed by the Receiving Party independently, without use the technical information from the Disclosing Party.
上述所稱的“機(jī)密信息”不包括如下的信息：
a)接收方從披露方接收到機(jī)密信息之前已經(jīng)熟知的信息（并有充分的權(quán)利進(jìn)行披露）；
b)非因接收方違反本協(xié)議之約定，已經(jīng)或正在成為公眾可以獲取的信息；
c)由第三方合法提供給接收方的信息；
d)未使用披露方的技術(shù)資料，由接收方獨(dú)立開發(fā)出來(lái)的技術(shù)。
The Receiving Party has the burden of proving any of the above exceptions.
接收方有義務(wù)證明任何上述例外情況。
*.The confidentiality obligation shall apply in particular, but not be limited to, the following items:
保密義務(wù)應(yīng)特別適用但不限于下列項(xiàng)目：
a)Use of technology to design and manufacture wind turbine generators and its components (including towers).
使用工藝技術(shù)設(shè)計(jì)和制造風(fēng)力渦輪發(fā)電機(jī)及其零件（包括塔筒）。
b)The drawings, models, specifications, standards, procedures, manuals and in general any other information developed by any of the parties hereto with respect to the Project, whether it is produced by any of the parties hereto or by a third party at the instruction of any of the parties hereto.
制圖，樣式，規(guī)格，標(biāo)準(zhǔn)，程序，手冊(cè)和由與項(xiàng)目有關(guān)的一方因此研發(fā)出來(lái)的任何其他信息，無(wú)論是由上述雙方的任何一方在此基礎(chǔ)上產(chǎn)生的或是由第三方在上述雙方的任何一方的指導(dǎo)下產(chǎn)生的。
c)The reports, records and any kind of documentation having an economic, technical, financial, commercial, legal or other nature which is related to the Project and has been produced by any of the parties hereto or their respective subcontractors, directly or through their parent companies or affiliates.
和項(xiàng)目有關(guān)并且已經(jīng)被本合同雙方的任何一方產(chǎn)生或他們各自的轉(zhuǎn)包商，直接的或通過他們的母公司或者分公司產(chǎn)生的含有經(jīng)濟(jì)、技術(shù)、財(cái)務(wù)、商業(yè)、法律或其他性質(zhì)的信息、報(bào)告、記錄和任何種類的文檔。
d)The confidentiality undertaking shall be extended to all inventions, derivatives and results deriving from the use and/or development of the information disclosed.
保密承諾將適用于所有的發(fā)明創(chuàng)造及其衍生物并且包括由于使用和/或開發(fā)被透露信息而取得的成果。
Both Parties acknowledge that the Confidential Information brings or will bring economic benefits to the Disclosing Party.
雙方承認(rèn)機(jī)密信息會(huì)給或?qū)?huì)給披露方帶來(lái)經(jīng)濟(jì)上的利益。
*.The Receiving Party agrees:
接收方同意：
a)to receive, treat and keep such Confidential Information received from the Disclosing Party in the strictest confidence and in good faith, and shall be responsible for maintaining the confidentiality;
按照最嚴(yán)格的保密等級(jí)從披露方接收上述機(jī)密信息，做好這些機(jī)密信息的接收、處理和保密工作，并對(duì)保持機(jī)密信息的機(jī)密性負(fù)責(zé)；
b)to refrain from using it directly or indirectly otherwise than for the development of the Project in favor of the Disclosing Party;
除為了披露方利益開發(fā)項(xiàng)目而使用機(jī)密信息外，禁止直接或間接地使用機(jī)密信息；
c)to limit the disclosure of such Confidential Information to trusted personnel in its organization who, having a need to know said Confidential Information, will be obliged to maintain it confidential;
為了限制上述機(jī)密信息的泄露，對(duì)于其機(jī)構(gòu)內(nèi)確有必要了解上述機(jī)密信息的工作人員，應(yīng)使其承擔(dān)保密義務(wù)；
d)not to directly or indirectly disclose or distribute or permit to be disclosed or distributed such Confidential Information to any other person, organization or entity without prior written consent of the Disclosing Party.
在沒有披露方事先書面同意的情況下，不得以任何直接或者間接的方式透露、傳遞，或者允許其他人透露或者傳遞機(jī)密信息給任何其他個(gè)人、機(jī)構(gòu)或企業(yè)。
e)without the prior written consent of the Disclosing Party, not in any way use such Confidential Information or any knowledge or information which it may acquire as a result of receiving such Confidential Information in any way which is in furtherance of competition with the Disclosing Party or which is otherwise directly or indirectly detrimental to the interests of the Disclosing Party or for any purpose whatsoever other than for the purpose of Project.
在沒有披露方事先書面同意的情況下，不得以任何方式使用機(jī)密信息或者任何作為接收機(jī)密信息結(jié)果獲得的知識(shí)或者信息，從而導(dǎo)致加劇同披露方的競(jìng)爭(zhēng)或者直接或間接損害披露方的利益，或者出于任何非項(xiàng)目目的而進(jìn)行使用。
f)without the prior written consent of the Disclosing Party, not to copy reproduce or store for later retrieval in any way or permit to be copied, reproduced or stored for later retrieval in any way such Confidential Information or any part of such Confidential information.
在沒有披露方事先書面同意的情況下，不得以任何方式復(fù)制，存儲(chǔ)或者允許其他人復(fù)制、存儲(chǔ)機(jī)密信息以在將來(lái)復(fù)原后再次使用。
*.The Receiving Party acknowledges that such Confidential Information has been and will be provided to it or for its benefit solely for the purpose of developing and evaluating the Project and the Receiving Party agrees that:
接收方承諾其了解到，機(jī)密信息已經(jīng)并且將僅以開發(fā)和評(píng)價(jià)項(xiàng)目目的向其披露，接收方在此同意：
(a ) it shall be solely responsible for its own assessment and evaluation of such Confidential Information
自行負(fù)責(zé)其對(duì)于機(jī)密信息作出的評(píng)估及評(píng)價(jià)。
(b) none of the entry into of this Agreement, the provision of such Confidential Information to or for the benefit of the Receiving Party nor anything contained in such Confidential Information shall constitute a warranty or representation (expressed or implied) as to the accuracy, adequacy or completeness of such Confidential Information; and
簽訂本協(xié)議，機(jī)密信息中有利于接收方的規(guī)定或者機(jī)密信息中的任何內(nèi)容均不得視為對(duì)于機(jī)密信息準(zhǔn)確性、充分性及完整性的任何明示或者暗示地保證或者陳述。
(c) the Disclosing Party shall not have any liability to the Receiving Party resulting from the Receiving Party’s use of such Confidential Information.
披露方不對(duì)接收方使用機(jī)密信息導(dǎo)致的結(jié)果承擔(dān)任何責(zé)任。
*.Nothing in this Agreement shall be deemed or interpreted as a granting by the Disclosing Party of any license or technology transfer or the contracting of development services with the Receiving Party. Likewise nothing in this Agreement shall be construed as a commitment from the Disclosing Party beyond the stipulations contained herein. This Agreement does not confer to the Receiving Party the right to obtain any information or documentation from the Disclosing Party if the Disclosing Party decides to terminate any conversations or negotiations initiated, in which case the Receiving Party assumes the obligation to keep strictly confidential any information received or developed up to the date of such termination.
本協(xié)議中包含的任何規(guī)定均不得視為或者解釋為披露方通過許可證、技術(shù)轉(zhuǎn)讓或者開發(fā)服務(wù)合同而給予接收方一個(gè)許可。同樣本協(xié)議中包含的任何規(guī)定均不得被解釋為披露方在此做出超過本協(xié)議規(guī)定的承諾。本協(xié)議并未授予接收方關(guān)于從披露方獲得任何信息或文件的權(quán)利，如果披露方?jīng)Q定終止任何開始的會(huì)談或談判，在這種情況下，接收方承擔(dān)對(duì)其得到的任何信息或截至到會(huì)談或談判終止之日的信息嚴(yán)格保密的義務(wù)。
*.The Confidential Information shall remain the sole property of the Disclosing Party. The Receiving Party shall not either directly or indirectly assume any ownership or property right or interest to the Confidential Information or any derivative thereof.
機(jī)密信息屬于披露方的唯一專有財(cái)產(chǎn)。接收方不能直接的或間接的享有任何關(guān)于機(jī)密信息或其衍生物的所有權(quán)、財(cái)產(chǎn)權(quán)利或者利益。
*.The Receiving Party shall be liable for and indemnifies the Disclosing Party from and against losses which incurs or arises from or by virtue of the unauthorized disclosure or use of such Confidential Information by the Receiving Party or by any of the Receiving Party’s representatives or any of such persons otherwise being in breach of any of the provisions of this agreement.
接收方應(yīng)當(dāng)對(duì)披露方因接收方或其代表非經(jīng)授權(quán)對(duì)于機(jī)密信息的披露，使用或者其他對(duì)于本協(xié)議的違反而產(chǎn)生、招致的損失承擔(dān)責(zé)任并且進(jìn)行賠償。
*.The Receiving Party acknowledges and accepts that the value of the Confidential Information to the Disclosing Party is unique and substantial. The parties agree that, in the event of an actual or threatened violation of this Agreement, the Disclosing Party will be entitled to the enforcement of this Agreement by injunctive relief, specific performance or other relief.
接收方承認(rèn)并同意機(jī)密信息的價(jià)值對(duì)于披露方是獨(dú)特的和重要的，雙方一致同意，如果出現(xiàn)違反本協(xié)議或者有違反本協(xié)議的可能，披露方將有權(quán)通過特定履行或其他方式強(qiáng)制執(zhí)行本協(xié)議。
*.All information furnished by the Disclosing Party shall be immediately returned or destroyed by the Receiving Party upon request of the Disclosing Party.
應(yīng)披露方要求，由披露方提供的所有信息應(yīng)由接收方立即返還或者銷毀。
**.The terms and conditions of this Agreement may not be modified or waived except in writing by authorized representatives of each of the Parties.
未經(jīng)雙方授權(quán)代表書面認(rèn)可，本協(xié)議的條款和條件不得修改或廢止。
**.Neither party may assign any of its rights or obligations under this agreement without the prior written consent of the other party.
任何一方未經(jīng)對(duì)方事先書面同意，不得轉(zhuǎn)讓其在本協(xié)議項(xiàng)下的任何權(quán)利和義務(wù)。
**.This Agreement shall be effective as of the date of signature and stamp by the Parties hereto and shall remain in force for twenty (**) years. This Agreement is made in English and Chinese in duplicate with each party holding one original. In case of any discrepancy between the English and Chinese versions, the English version shall prevail.
此協(xié)議自雙方簽字蓋章之日起生效并且有效期二十年。本協(xié)議語(yǔ)言為中文和英文，一式二份，雙方各持一份。如果中文文本與英文文本之間不一致，則以英文文本為準(zhǔn)。
**.All disputes arising from, or in connection with the execution of the Agreement, shall be settled through friendly discussion between the two parties. In case no settlement is reached, the disputes shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) for Arbitration. The Tribunal shall be composed of three arbitrators. The arbitration shall be conducted in Beijing in accordance with CIETAC arbitration rules and the rendered award is final and binding on both parties and the applicable law is the laws of PRC. The arbitration shall be held in English language. In the course of arbitration, both parties shall continue to perform the Agreement with the exception of the terms in dispute.
任何由本協(xié)議的簽訂引起或與本協(xié)議的簽訂有關(guān)之爭(zhēng)議均應(yīng)通過雙方**協(xié)商解決。若經(jīng)協(xié)商不能解決，則爭(zhēng)議應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（CIETAC）進(jìn)行仲裁。仲裁庭應(yīng)由三名仲裁員組成。仲裁應(yīng)在**并依照CIETAC規(guī)則進(jìn)行。仲裁裁決為終局裁決并對(duì)雙方均具有約束力。適用法律為中國(guó)法律。仲裁使用的語(yǔ)言為英語(yǔ)。在仲裁期間，除有爭(zhēng)議的條款外，雙方應(yīng)繼續(xù)履行本協(xié)議。
**.The effect, interpretation and performance of the Agreement are governed by laws of the People’s Republic of China in all respects and are construed therewith.
本協(xié)議的效力、解釋和履行在各個(gè)方面均受中華人民**國(guó)法律管轄并據(jù)此解釋。
