一、招標條件Tendering Conditions
東非原油外輸管道EPC項目招標人為中石油管道局坦桑尼亞國家公司，項目資金來源已落實。本招標項目已按要求履行了相關(guān)報批及備案等手續(xù)，具備招標條件。The project has implemented relevant procedures according to rules, regulations, and laws .as well as the capital has been confirmed. Now we hereby invite your esteemed company to participate in this bid. The tenderee is China Petroleum Pipeline Engineering Company Ltd.
二、項目概況與招標范圍 Project Overview and Tendering Scope
*.* 項目概況 Project Profile
東非原油外輸管道EPC項目起點于烏干達Tilenga CPF（聯(lián)絡(luò)線起點），止于坦桑尼亞Tanga港，總長****km，其中：干線****km，聯(lián)絡(luò)線**km。烏干達境內(nèi)***km，坦桑尼亞境內(nèi)****km；全線泵站*座，減壓站*座，閥室**座，電伴熱站**座（與閥室合建**座，單獨建設(shè)*座）。該項目業(yè)主為道達爾勘探開發(fā)公司（上游，聯(lián)絡(luò)線部分）與道達爾東非中游公司。計劃工期為**個月。
East African Crude Oil Pipeline EPC Project starts from Tilenga CPF, Uganda (starting point of contact line) and ends at Tanga Port, Tanzania, with a total length of *,***km, including *,***km trunk line and **km connection line. ***km in Uganda and ****km in Tanzania; There are * pump stations, * decompression stations, ** valve rooms and ** electric tracing stations (** jointly built with valve rooms and * separately built). 烏干達現(xiàn)場DDP(Plot ** Bugahya Block * at Bulemwa,YESIIGA VILLAGE,HOIMA, UGANDA) 美元價格，烏干達屬地投標人可只參與B包投標。如果同時參與A包，A包將按照國際投標人考慮。針對屬地投標人，允許分包授標。

三、投標人資格要求 Bidder qualification requirement
*.* 本次招標 不接受 聯(lián)合體投標。
Bids from joint venture are not accepted.
*.* 投標人須具有獨立法人資格，在法律和財務(wù)上獨立、合法運作并獨立于招標人（招標代理機構(gòu)）的制造商、或者制造商指定的授權(quán)代理商或貿(mào)易商（僅限烏干達境內(nèi)的供應(yīng)商）。
*.* The bidder must have independent legal personality, legally and financially independent of the manufacturer that operates legally and independently of the tenderer (tendering agency), or an authorized agent or trader designated by the manufacturer (suppliers in Uganda only).
*.* 投標人需有相應(yīng)供貨業(yè)績合同，不限數(shù)量，業(yè)績表中產(chǎn)品的性能、技術(shù)參數(shù)應(yīng)能適用或接近數(shù)據(jù)單中規(guī)定的工況條件。業(yè)績表應(yīng)包括工程名稱、產(chǎn)品規(guī)格型號及主要技術(shù)參數(shù)、供貨數(shù)量、使用地點、簽訂合同時間、有效業(yè)績合同及合同發(fā)票復(fù)印件（提供的合同復(fù)印件至少應(yīng)包括：封頁；簽字蓋章頁；合同中包含買方名稱、物資名稱、規(guī)格型號及技術(shù)參數(shù)、供貨數(shù)量、簽訂時間的關(guān)鍵頁；合同發(fā)票復(fù)印件至少應(yīng)包括與合同對應(yīng)的*張發(fā)票）。
The bidder must have a corresponding supply performance contract, with no limit on quantity, and the performance and technical parameters of the products in the performance sheet should be applicable to or close to the working conditions specified in the data sheet. The performance table should include the project name, product specifications and main technical parameters, supply quantity, use location, contract signing time, valid performance contract and contract invoice copy (the provided contract copy should at least include: cover; Signature and seal page; The contract contains the buyer's name, material name, specifications and technical parameters, supply quantity, and signing time. *.* 投標人提供ISO相關(guān)體系認證（有效ISO****、*****、*****）及相關(guān)企業(yè)資質(zhì)（包括但不限于營業(yè)執(zhí)照或注冊證書等）, 具有與本招標項目相應(yīng)的供貨能力，投標人需在投標文件中如實寫明中標后該批貨物的生產(chǎn)品牌，生產(chǎn)地址，如生產(chǎn)、制造加工基地；
The bidder shall provide ISO related system certification(Valid ISO****, *****, *****) and relevant enterprise qualifications (including but not limited to business licenses or registration certificates, etc.), and have the corresponding supply capacity of this bidding project.
*.* 如投標人為中國注冊的制造商的,須在“國家企業(yè)信用信息公示系統(tǒng)”網(wǎng)站（www.gsxt.gov.cn）未被列入經(jīng)營異常名錄和嚴重違法失信企業(yè)名單；投標人、法定代表人或者負責(zé)人未被人民法院在“信用中國”網(wǎng)站（www.creditchina.gov.cn）列入失信被執(zhí)行人；****年*月*日至投標截止時間，投標人或其法定代表人（單位負責(zé)人）無行賄犯罪行為（在“中國裁判文書網(wǎng)”網(wǎng)站（wenshu.court.gov.cn）查詢）。

*.* 投標人未被中國石油天然氣集團有限公司/中國石油管道局工程有限公司列入黑名單、暫�；蛉∠稑速Y格或交易權(quán)限。
*.* The bidder has not been blacklisted, suspended or canceled by China National Petroleum Corporation/China Petroleum Pipeline Engineering Co., Ltd.
*.* 投標人近三年在中國石油天然氣集團有限公司/中國石油管道局工程有限公司所屬項目中無重大質(zhì)量事故、安全事故，且與CPP無法律糾紛，需提供承諾函。如制造商為中石油庫內(nèi)供應(yīng)商，能源一號網(wǎng)入網(wǎng)狀態(tài)應(yīng)為：“正常”（針對入網(wǎng)企業(yè)）。
*.* Bidders shall have no major quality accidents, safety accidents in projects under China National Petroleum Corporation (CNPC)/China Petroleum Pipeline Engineering Co., Ltd. (CPP) in the past three years, and no legal disputes with CPP. A letter of commitment must be provided. If the manufacturer is a supplier in CNPC's internal supplier, the access status on Energy No.* Network shall be "Normal" (for companies within the network).
*.*財務(wù)要求：
中國境內(nèi)投標人須提供近三年（****-****年度）的經(jīng)會計師事務(wù)所或?qū)徲嫏C構(gòu)審計的完整的財務(wù)報告（須由注冊會計師簽字蓋章）。財務(wù)報告內(nèi)容至少應(yīng)包括：資產(chǎn)負債表、現(xiàn)金流量表、利潤表和報表附注。成立日期晚于要求年份的，從成立年起計算。如投標人的成立時間不足一個財務(wù)年度的或成立時間超過一個財務(wù)年度但尚未完成該年度財務(wù)審計的，須提供公司出具的財務(wù)報表（加蓋公章）。
如投標供應(yīng)商中標，采購需求人有權(quán)在合同簽訂前審查其財務(wù)狀況（含財務(wù)審計報告），若發(fā)現(xiàn)投標供應(yīng)商存在上述情況或風(fēng)險的，采購需求人有權(quán)取消其中標資格。投標供應(yīng)商需在其響應(yīng)文件中提供其接受上述條款的承諾函。
中國境內(nèi)及境外的投標人，需在其投標文件中提供如下承諾：我公司財務(wù)狀況良好（其中資產(chǎn)負債率小于***%），沒有處于財產(chǎn)被接管、破產(chǎn)或其他關(guān)、停、并、轉(zhuǎn)狀態(tài)；我公司不存在進入清算程序、被宣告破產(chǎn)或其他喪失履約能力的情形。如我公司中標，招標人有權(quán)在合同簽訂前審查我公司完整的財務(wù)報告及財務(wù)狀況，若發(fā)現(xiàn)我公司存在上述情況或風(fēng)險，招標人有權(quán)取消我公司的中標資格。
*.* Financial Requirements:
Bidders within the territory of the People's Republic of China must provide complete financial reports audited by a certified public accounting firm or audit institution for the past three years (****-**** fiscal years), which must be signed and sealed by a certified public accountant (CPA). The financial reports shall include at least the following components: Balance Sheet, Cash Flow Statement, Income Statement, and Notes to the Financial Statements. For bidders established later than the required starting year, the three-year period shall be calculated from the year of their establishment. If a bidder has been established for less than one fiscal year, or has been established for more than one fiscal year but has not yet completed the financial audit for that year, it must provide the financial statements issued by the company (with the official seal affixed).
If a bidder wins the bid, the procurement demander shall have the right to review the bidder's financial status (including the financial audit report) before the conclusion of the contract. In case the procurement demander discovers that the bidder is in any of the aforementioned situations or at risk, the procurement demander shall have the right to cancel the bidder's winning bid qualification. Bidders shall provide a letter of commitment in their response documents stating their acceptance of the above-mentioned terms.
Bidders both within and outside the territory of China shall provide the following commitment in their bid documents: Our company is in sound financial condition (with an asset-liability ratio of less than ***%) and is not in a state of property custody, bankruptcy, or other suspension, closure, merger, or restructuring; our company is not in liquidation, declared bankrupt, or in any other situation that results in the loss of performance capacity. If our company wins the bid, the tenderer shall have the right to review our company's complete financial reports and financial status prior to the signing of the contract. If the tenderer discovers that our company has any of the aforementioned circumstances or risks, the tenderer shall have the right to cancel our company's bid-winning qualification.
